According to Personal Information Protection Law of the People's Republic of China, in this privacy statement ("Statement"), we provide you with details about how we collect, use, protect and disclose your personal information.
This Statement applies to Wanda Hotels & Resorts and all of hotels managed by Wanda Hotels & Resorts.
By using any of our products or services and/or by agreeing to this Statement, e.g., in the context of registering for any of our products or services, you understand and acknowledge that we will collect and use personal information as described in this Statement.
Please note that this Statement does not apply to our processing of personal information on behalf of and subject to the instructions of third parties such as airlines, car rental companies and other service providers, companies that organize or offer packaged travel arrangements, marketing partners, or corporate customers.

1.Data Collection
We collect personal information directly from you, information about you from other persons/entities/online channels, and automatically when you use our website or other Wanda Hotels & Resorts digital channels, and through certain offerings or services available at Wanda Hotels & Resorts properties (such as WI-FI). We provide more details in the sections below. In particular, we collect and use information about you if you (or someone on your behalf) make a reservation to stay at a Wanda Hotel & Resorts property, participate in the loyalty program, or interact with us through other Wanda Hotels & Resorts digital channels. You do not have to provide us with your personal information in order to use our website; in some cases, however, we may not be able to provide services to you without your personal information (for example, we would not be able to complete a requested booking or enroll you in our rewards program). At touchpoints throughout your guest journey, we collect Personal Data in accordance with the law, and to serve you better. Personal Data is information that may identify you as an individual or relate to you as an identifiable individual. We collect and process the following types of Personal Data about you:
•Name
•Gender
•Postal address
•Telephone number
•Email address
•Financial information (such as credit and debit card number or other payment data)
•Language preference
•Date of birth
•Nationality, passport, visa, or other government-issued identification data
•Important dates: birthdays, anniversaries, and special occasions
•Membership or loyalty program data (including travel partner program affiliations)
•Employer details (for business-related bookings)
•Travel itinerary, tour group, or activity data
•Prior guest stays or interactions, goods and services purchased, special service and amenity requests
In more limited circumstances, we may also collect:
•Data about family members and companions, names and ages of children
•Biometric data
•Images, video and audio data via: security cameras located in public areas, such as hallways and lobbies.
In order to meet your requirements or provide you with a specific service (such as dietary requirements), we may have to collect sensitive information, such as information concerning race, ethnicity, political opinions, religious and philosophical beliefs, union membership, or details of health or sexual orientation. In this case, we will only process this data if you provide your express prior consent.
If you submit any Personal Data about other people to us or our Service Providers (e.g., if you make a reservation for another individual), you represent that you have the authority to do so and you permit us to use the data in accordance with this Privacy Statement.
Personal data may be collected on a variety of occasions, including:
1. Hotel activities:
•Booking a room
•Checking-in and paying
•Hotel stays and services provided during a stay
•Eating/drinking at the hotel bar or restaurant during a stay
•Requests, complaints and/or disputes.
2. Participation in marketing programs or events:
•Signing up for the loyalty program
•Participation in customer surveys (for example, the Guest Satisfaction Survey)
•Subscription to newsletters, in order to receive offers and promotions via email.
3. Transmission of information from third parties:
•Tour operators, travel agencies (online or not), GDS reservation systems and others
4. Internet activities:
•Connection to Wanda Hotels & Resorts websites (IP address, cookies in accordance with our Policy about the use of tracers)
•Online forms (online reservation, questionnaires,).


2.The legal basis for processing your personal data
We are committed to collecting and using your information in accordance with applicable data protection laws.
We collect, use and share your information where we have an appropriate legal basis to do this.
This may be because:
•You have provided your consent to us using the personal information;
•Our use of your information is necessary to perform our contract with you, for example, making and managing your booking and operating and providing services in connection with our Loyalty Program in accordance with the terms of our agreement with you;
•Our use of your information is necessary to meet responsibilities we have to our regulators, tax officials, law enforcement, or otherwise meet our legal responsibilities;
•Our use of your information is in our legitimate interest as a commercial organization, for example, to operate and improve our services and to keep people informed about our products and services (including for profiling and targeted advertising) – in these cases we will look after your information at all times in a way that is proportionate and respects your privacy rights and you have a right to object to processing of your information.

3.Data Protection
Wanda Hotels & Resorts is committed to protecting the confidentiality and security of the information that you provide to us. To do this, technical, physical and organizational security measures are put in place to protect against any unauthorized access, disclosure, damage or loss of your information. The collection, transmission and storage of information can never be guaranteed to be completely secure, however, we take steps to ensure that appropriate security safeguards are in place to protect your information. To this end, we have taken technical measures (such as firewalls) and organizational measures (such as a user ID/password system, means of physical protection etc.) to ensure the ongoing confidentiality, integrity, availability and resilience of processing systems and services.
Wanda Hotels& Resorts employs a robust team of dedicated information security professionals who are responsible for managing Wanda Hotels & Resorts security program. This team is responsible for, among many other things, monitoring our systems for potential intrusions, responding to potential incidents, supporting property-level information security, regularly reviewing and updating the security controls Wanda Hotels & Resorts uses to protect data, and providing training on Wanda Hotels & Resorts’ information security program.
We require third parties with whom we share personal information to exercise reasonable efforts to maintain the confidentiality of personal information.
We will never ask you to send us confidential personal information or payment card information via email or text message.
In the event of a security incident, Wanda Hotels & Resorts will notify regulators and/or consumers as required by applicable laws and regulations.
If you have reason to believe that your interaction with us is no longer secure (for example, if you feel that the security of your account has been compromised), please immediately notify us in accordance with the “Contact Us” section, below.


4.International Data Transfers
As we operate via a global network of corporate offices, reservations and service centers, data centers and hotels, it may be necessary to transfer your information, for example, information collected in connection with making a reservation or your stay at a Wanda hotel, joining in our loyalty program Wanda Club or interacting with us through our websites, emails or our other digital channels to China, where Wanda Hotels & Resorts Headquarters is located. The information that you provide us during the course of a reservation or through the provision of any other services may be transferred to any of our Wanda Hotels & Resorts affiliated entities and Wanda hotels around China for the purposes of carrying out or facilitating these services. It will also be necessary to transfer this information to other entities, including, without limitation, our Wanda Hotels & Resorts hotels, partners and our service providers in China.
Where we transfer information that originates in the country outside of China to mainland China, we will take steps to make sure such transfer is carefully managed to protect your privacy rights:
•Transfers within the Wanda Group will be covered by an agreement entered into by members of the Wanda Group (an intra-group agreement) which contractually obliges each member to ensure that your information receives an adequate and consistent level of protection wherever it is transferred within the Wanda Hotels & Resorts;
•where we transfer your data outside of the Wanda Hotels & Resorts including to other companies providing us with a service, we will obtain contractual commitments and assurances from them to protect your information. Some of these assurances are well-recognized certification schemes such as standard contractual clauses;
•We will only transfer personal information to China or countries which are recognized as providing an adequate level of legal protection or where we can be satisfied those alternative arrangements are in place to protect your privacy rights; and
•Any requests for information we receive from law enforcement or regulators will be carefully validated before personal information is disclosed.
When we otherwise transfer personal information between jurisdictions, we will take such steps as required by local law in an effort to ensure that such transfer is managed to protect your privacy rights.


5.Disclosure pursuant to legal obligations or to protect the safety and security of people and property.
Wanda Hotels & Resorts will disclose personal information as required by law. Examples of such disclosures include when countries require Wanda Hotels & Resorts to collect personal data about visitors to properties in that country, when a law enforcement agency serves a valid subpoena on Wanda Hotels & Resorts, and when a civil litigation serves a lawful discovery request on Wanda Hotels & Resorts. Wanda Hotels & Resorts may elect to share personal information with law enforcement or others as necessary to protect the safety and security of people and property, to pursue available remedies or limit the damages that we may sustain, and to respond to an emergency.


6.Cookie and Other Data
Cookie What is a cookie: A “cookie” is a small text file that is placed onto an internet user’s web browser or device and is used to remember as well as obtain information about that part. You might be assigned a cookie when visiting our websites or other digital channels. In some instances, where permitted under the applicable law, cookies may also be used for the purposes of certain email campaigns.
We collect certain data from cookies, which are pieces of data stored directly on the computer or mobile device that you are using. Cookies allow us to collect browser type, time spent on the online services, pages visited, referring URL, language preferences, and other aggregated traffic data.
Functional Cookies – these cookies support the use of the website and enable certain features to enhance your experience. For example, we use functional cookies to facilitate your reservation and to remember your selections as you move from page to page. We also use functional cookies for remembering things like your sign-in information and hotel preferences to avoid you having to re-enter it.
Performance Cookies – these cookies collect information needed to support the website and our applications and allow us to improve our website and identify any problems that you faced while visiting us. For example, performance cookies may provide us with information about how you came to our website and how you navigated around our website during your visit. We also use these cookies to provide us with certain statistical and analytics information, such as how many visitors came to our website or how effective our advertising is.
Targeting Cookies – these cookies are used to collect information from you to help us to improve our products and services as well as serve you with targeted advertisements that we believe will be relevant for you. We use targeting cookies across our websites and applications for various marketing initiatives and campaigns.
Third Party Advertising:
We may use third-party advertising companies to serve advertisements regarding goods and services that may interest you when you access and use the online services or other websites. To serve such advertisements, these companies place or recognize a unique cookie on your browser (including through use of pixel tags).
Other Data
Your browser or device:
We collect certain data through your browser or automatically through your device, such as your Media Access Control (MAC) address, computer type (Windows or Apple), screen resolution, operating system name and version, device manufacturer and model, language, internet browser type and version and the name and version of the online services you are using. We use this data to ensure that the online services function properly.
Pixel Tags and other similar technologies:
We collect data from pixel tags (also known as web beacons and clear GIFs), which are used with some online services to, among other things, track the actions of users of the online services (including email recipients), measure the success of our marketing campaigns, and compile statistics about usage of the Online Services.
Your IP Address:
We collect your IP address, a number that is automatically assigned to the device that you are using by your Internet Service Provider (ISP). An IP address is identified and logged automatically in our server log files when a user accesses the online services, along with the time of the visit and the pages that were visited. We use IP addresses to calculate usage levels, diagnose server problems and administer the online services. We also may derive your approximate location from your IP address.


7.Use of WI-FI Service
When you use the WI-FI service in Wanda Hotels & Resorts properties, we may collect and process certain additional information.
What information we collect
Registration and User-Provided Information:
When you register to use the WI-FI service in Wanda Hotels & Resorts properties, we may collect personal information about you including your last name, your Wanda Club member, your room number and, depending on your location and applicable law, other personal information (such as your mobile phone number).
Device Identifiers:
In the course of providing WI-FI service, we may automatically collect a device identifier (such as your IP address, MAC address, device name or other unique identifier) for the computer, mobile device, technology or other device you use to access WI-FI in Wanda Hotels & Resorts properties. A device identifier is a number that is automatically assigned to your device when you access WI-FI in Wanda Hotels & Resorts properties, and we may identify your device by its device identifier. When you use WI-FI in Wanda Hotels & Resorts properties, we may view your device identifier and use this information to enhance our service. We may associate your device identifier with other information about you, such as your Wanda Club member number.
Other device information: 
We may also automatically record certain information from your device including, device type, the web pages, apps or sites that you visit, and the dates and times that you visit, access, or use WI-FI (Internet activity information). While this information is generally pseudonymous and/or aggregated, this information may be associated with your Wanda Club member number and/or persistent identifiers. This data helps us to manage our networks and provides us with information about the use of WI-FI. We do not, however, collect and process the contents of email communications or other electronic communications you send or receive when using WI-FI.
Location information: 
We may collect information about your location through your use of the WI-FI services we provide at our hotels to enable us to improve our service and provide certain services to you such as customized offers and promotions.


8.Data retention periods
We generally only keep your information for as long as is reasonably required for the purposes explained in this privacy policy. In some cases, we keep transactional records (which may include your information) for longer periods if necessary to meet legal, regulatory, tax or accounting needs. We will also retain information if we reasonably believe there is a prospect of litigation. We maintain a data retention policy which we apply to the records we hold. When we destroy your personal information, we do so in a way that prevents that information from being restored or reconstructed.


9.Link to other Sites
Our websites and applications contain links to websites that are maintained and/or controlled by non-affiliated parties. In some instances, these websites may be co-branded and display our logos or other trademarks. You can always tell whether you are on one of our websites by checking the uniform record locator ("URL”) on the page that you are visiting. We encourage you to review the privacy policies of these websites as their privacy practices may differ from ours.


10.Use of Service by Children and Minors
Our websites are not intended for children and we do not intentionally solicit or collect personal information from individuals under the age of 18. If we are notified or otherwise discover that a minor’s personal information has been improperly collected, we will take all commercially reasonable steps to delete that information. In limited instances, we may have a campaign or program targeted toward children. In these instances, details on the information practices will be presented within the terms and conditions of the program or campaign.


11.Changes to this Privacy Statement
In some instances, we may have to change, modify or amend this Privacy Statement in order to comply with the evolving regulatory environment or the needs of our business. Subject to any applicable legal requirements to provide additional notice, any changes to this Privacy Statement will be communicated through our websites. However, if there will be changes made to the use of your personal information in a manner different from that stated at the time of collection, we will take appropriate steps to notify you, such as by posting a notice on our website for 15 working days prior to the changes taking effect or by emailing you. We will obtain your consent to such changes where required to do so by applicable law.

Detailed Rules and Terms for Individual Customer Loyalty Program

Wanda Club, a subsidiary of Wanda Hotels & Resorts, is dedicated to providing its members value-added services.
After a comprehensive upgrading in June, 2019, Wanda Club programs are now governed by new terms and conditions. These include, how members manage their accounts, book reservations, upgrade membership level, and earn and redeem the points, as well as the expiry of points, etc. These new Wanda Club Program Terms shall supersede all the previous terms and conditions applicable to Wanda Club programs.
Wanda Hotels & Resorts and Wanda Club reserve the right to amend, modify or supplement these Wanda Club Program Terms anytime. The amended terms will be published on the official website of Wanda Club and will come into effect instantly without any additional notice. Your continued participation in the [Wanda Club Loyalty Program] will constitute your acceptance of these amendments, modifications or supplements. Wanda Club members should keep themselves updated about Wanda Club Loyalty Program Terms and any amendment, modification or supplement of the [Wanda Club Loyalty Program].
Anyone eligible for membership under the Wanda Club Loyalty Program may make an application; and enjoy privileges after opening the membership account once the application is approved. Members can earn points on eligible consumption (in accordance with point accumulation rules) at hotels that participate in the Loyalty Program. Points will be saved in the membership account and can be redeemed for value-added benefits.
By opening a membership account under the Individual Customer Loyalty Program, or by using either your membership card or the membership account number you are assigned (“Membership Number”) to receive or redeem benefits of the Loyalty Program, including, without limitation, Loyalty Program Points, you agree that:
•You have read and accepted the Program Rules; and you have read and accepted the Terms of Use of the websites where these Program Rules are applicable; and
•You consent to the collection, use, and disclosure of your personal data by the Company, the Loyalty Program, participating hotels and partner programs, and their authorized third-party agents and licensees in accordance with the Company’s Privacy Statement.
To the extent permitted by applicable laws, all the benefits, gifts, discounts, awards and services under the Individual Customer Loyalty Program (“Loyalty Program”) are subject to actual availability and may be changed by the Company at any time without notice. The Company may terminate the Loyalty Program, in whole or in part, with 30 days’ advance notice to all the active Loyalty Program members. To the extent permitted by applicable laws, at the Company’s sole discretion, the Company may choose to substitute a similar loyalty program for any existing program or the Loyalty Program at any time immediately upon giving notice to active Loyalty members. If the Loyalty Program is terminated, all the unredeemed points will be forfeited without any obligation or liability, and no redemption award claims or promotional award claims will be honored after the conclusion of the notice period.
These Program Rules supersede all the previous detailed rules and terms applicable to the original loyalty program. Except as otherwise expressly prohibited or limited by applicable laws, the Company may amend, modify or supplement these Program Rules and the rules for earning awards at any time, with or without notice, even if these changes affect the value of points or miles, or the member’s ability to obtain certain awards (collectively “Program Rules Changes”). Loyalty Program members should keep themselves updated about the Program Rules and any Program Rules Changes. Your continued participation in the Wanda Club Loyalty Program will constitute your acceptance of any such Program Rules Changes.
Hotels under the management of Wanda include: hotels or resorts owned by Wanda Hotels & Resorts, and other hotels or resorts entrusted to be managed by Wanda Hotels & Resorts (collectively “Entrusted Management Hotels”). Currently, the hotel brands participating in Wanda Club Loyalty Program include Wanda Reign, Wanda Vista, Wanda Realm, Wanda Jin, Wanda Yi, Wanda Moments and Wanda Yue.
Unless otherwise expressly stated, the Loyalty Program will be operated under the following detailed rules and terms (“Program Rules”).

I. Join Wanda Club Individual Customer Loyalty Program

1. Membership Eligibility\Criteria and Charges
Membership in the Loyalty Program is free and available to any individual who:
1) possess the legal authority to agree to the Program Rules;
2) resides in a jurisdiction, which legally permits participation in the Loyalty Program;
3) is an individual, rather than a company or an entity;
4) is 18 years old or above, or has reached the age that specifies him as a major in the country of residence;
5) is not a member of Wanda Club, does not have a membership account, and has not previously been terminated from Wanda Club’s any award program.
a. It is the responsibility of the members to read and understand the Program Rules, account statements, and other information from the Company about the Loyalty Program in order to understand his/her rights, responsibilities and status in the Loyalty Program. For any queries about the Loyalty Program or Program Rules, the member should contact the member service center;
b. It is the responsibility of the members to read the Company’s Privacy Statement in order to understand how the Company collects, uses and discloses members’ data. For any queries about the Company’s Privacy Statement or its collection, use or disclosure of members’ data, the member should contact the member service center.

2. Enrollment Channel
1) The applicant can apply for membership by:
a. logging onto Wanda Hotels & Resorts’ official website (https://www.wandahotels.com/), WeChat public account (Wand Hotels & Resorts), or WeChat applet to fill in the relevant information;
b. contacting Wanda Club member service center (400 088 8899) and providing the relevant information; and
c. providing relevant information at the front desk of participating hotels.
2) To the extent permitted by applicable laws, Wanda Club may deny membership application of the Loyalty Program to any applicant at its sole discretion without any explanation or written notice.

3. Membership Account and Member Information

1) Member Information
An applicant should provide valid and accurate personal data upon registration, which will be maintained in a personal profile with the membership account. All the information provided by a member in his/her personal profile must be valid and accurate and must be kept current.

2) Assignment of Membership Account and Membership Number
After successful registration, each applicant will get a membership account along with a unique membership number. Upon receiving the membership number, the applicant becomes a member eligible to earn points at participating hotels.

3) Duplicate Accounts
Each member can have only one membership account, and cannot have one or more duplicate accounts under the Loyalty Program at any time. All the membership accounts under the Loyalty Program are individual accounts. (But a member can have a conference account at the same time.)
If a member holds more than one account under the Loyalty Program at the same time, he/she will receive points or miles for only one membership account. and duplicate membership accounts will be canceled.

4) Combination of Accounts
When members choose to combine their Loyalty Program membership accounts, the account details will be combined and some information will be available instantly (e.g., points, free nights, elite status, upcoming reservations), or within a few days (room upgrading awards, guest room experience certificate).

5) Change of Personal Profile
Members can change their personal profiles on the Wanda Hotels & Resorts official website or Wanda Club WeChat applet, or by contacting Wanda Club member service center.
Changing the name of membership account requires supporting legal documentation, signature, date and membership number.
In certain instances, changing addresses may require supporting legal documentation.

6) Change of Password
After receiving the approval and confirmation letter of enrollment from Wanda Club, the applicant should log onto the official website of Wanda Hotels & Resorts - Wanda Club to change his/her password for reviewing account information and activities in the future.

7) Account Transfer
Unless otherwise expressly stated, membership accounts under the Loyalty Program are not transferable.

8) Use of Information Collected in Application
The information a member provides to the Company at the time of completing the Loyalty Program application and redeeming points is processed in accordance with the Company’s Privacy Statement. Communication of relevant information is important to manage the Loyalty Program and provide each member with the opportunity to maximizing the benefits of the membership.
The Loyalty Program will only disclose member's data to: the Company and persons authorized by the member; franchisees, payment processing agencies, email service providers and mail companies that process mails for such entities; authorized licensees (as defined in the Company’s Privacy Statement); and marketing companies that provide services to the Company.
In each case, member's data will only be disclosed for one or more of the following purposes:
a. to better serve the membership account and the member’s preferences by keeping the member informed of his/her account status and activities through printed or electronic statements;
b. to assess a member’s entitlement to benefits;
c. to collect and process member charges incurred at the Company’s facilities;
d. to offer member additional products and services;
e. to send periodic satisfaction or market research surveys; and/or
f. to offer a member products or services from selected reputable companies with whom the Loyalty Program has a strategic relationship because the Loyalty Program believes its offerings will be of interest to the member.
While choosing to become a Loyalty Program member, the member gives consent to receive all kinds of information described above, but the member will have the opportunity to define and modify mailing and other communication preferences.

4. Membership Cancellation
Wanda Club reserves the right to monitor all Wanda Club membership accounts in accordance with Wanda Club Program Terms at any time and without prior notice. Wanda Club is entitled to review all Wanda Club members’ points, eligible consumption and upgraded nights, balance and transaction history, including, but without limitation, applications about Wanda Club awards, Wanda Club promotional awards and other benefits.

A. Canceling by Wanda Club Member
A member can cancel his/her membership in Wanda Club at any time by sending a written notice to the member service center. All unredeemed points, Wanda Club awards and Wanda Club promotional awards will be forfeited immediately and will not be reinstated or transferred.

B. Canceling by Wanda Club
Wanda Club may, at any time, for any reason, without written notice and at its sole discretion, cancel a member’s accumulated points, suspend Wanda Club Program benefits, suspend membership status, or cancel membership account with immediate effect, or cancel a member’s membership or announce a member’s all unredeemed points are invalid. The reasons include, but without limitation, that the Company believes the member has:
1) acted in a manner inconsistent with applicable laws, regulations, or ordinances;
2) breached or violated any of these Wanda Club Program Terms or the Website Terms of Use;
3) engaged in for-profit commercial activities, including, but without limitation, booking room reservations for others in OTA and other online or offline channels through membership account and seeking benefits with membership privileges;
4) furnished fraudulent information in membership application or used membership account inappropriately (e.g., using member discounts to resell room reservations and disturb the market);
5) membership value-added services that violate any national or local laws and regulations;
6) engaged in activities that seriously violate moral standards and negatively impact the hotel operations;
7) failed to pay any fees in relevant hotels or other bills payable to the Wanda Club or Wanda Club participating hotels;
8) engaged in any fraudulent or abusive use of any content in connection with Wanda Club; or acted in an inappropriate, fraudulent, abusive or hostile manner;
9) held more than one membership account (excl. conference account);
10) conducted physical, verbal or written harms to Wanda Hotels & Resorts employees; and
11) caused any harm to Wanda Hotels & Resorts, Wanda Club or any other affiliated members in any other manner.
12) Bankruptcy subject to applicable laws, a member’s membership in the Wanda Club will be terminated automatically upon the member filing for bankruptcy or otherwise being subject to a bankruptcy proceeding.
13) Effect of membership cancellation Wanda Club programs, Wanda Club points, Wanda Club awards, Wanda Club promotional awards and other related benefits and services are the sole property of Wanda Club, and are not the property of the members. On cancellation of membership in Wanda Club programs for any reason, all unredeemed points, Wanda Club awards and Wanda Club promotional awards will be forfeited and the member will no longer be able to participate in any Wanda Club programs. Wanda Club points, Wanda Club awards and Wanda Club promotional awards have no cash value and Wanda Club will not compensate or pay cash for any forfeited or unused points.
14) If a member cancels his/her membership account, or if a membership account becomes “inactive”, the member can reapply for [Wanda Club Program Membership] at a later date, but no Wanda Club points, Wanda Club awards or Wanda Club promotional awards previously expired will be reinstated to the new membership account and any elite membership status will not be reinstated.
15) Any membership status terminates upon cancellation of a Wanda Club membership account.
16) If there is any breach, violation of rights or any other misconduct or unfinished transaction before cancellation of the membership account, the member should bear the corresponding responsibilities

II. Membership Tiers and Benefits

1. Membership Tier Evaluation
Wanda Club Individual Customer Loyalty Program offers five memberships: Blue, Silver, Gold, Platinum, and Diamond. Wanda Club continuously evaluates and adjusts the members’ tiers status according to their account information.
● “Evaluation year” refers to every consecutive 12 months from the effective date of the member’s current membership status.
● “Room night for tier evaluation” refers to the number of room nights that a member stays in a Wanda Club participating hotel at qualified prices during a qualified tier evaluation year. One room night refers to a night that a member stays in a guest room of a Wanda Club participating hotel.
● “One stay” refers to one night or several consecutive nights that a member stays at the same hotel. To be specific, if a member checks in the same hotel within 24 hours after checking out, it will be deemed as one stay.
● “Valid point” refers to Wanda Club points accrued for the qualified consumption (i.e. consumption that meets the points accrual rules).
Valid points will be considered in membership tier evaluation and will ultimately affect the upgrading or downgrading of membership status.
Points accrued by promotions, gifts, purchases or in any other means other than the qualified consumption are not valid points and will not be considered in membership tier evaluation.

1) Upgrading or Maintaining the Current Tier:
a) During an effective evaluation year, the member who has stayed in a participating hotel at an eligible price for more than 5 but less than 10 valid room nights, or, who has accumulated more than 3,000 but less than 8,500 valid points will, subject to Wanda Club’s evaluation result, upgrade to/stay at the Silver membership with immediate effect and remain such status for a complete tier evaluation year.
b) During an effective evaluation year, the member who has stayed in a participating hotel at an eligible price for more than 10 but less than 25 valid room nights, or, who has accumulated more than 8,500 but less than 15,000 valid points will, subject to Wanda Club’s evaluation result, upgrade to/stay at the Gold membership tier with immediate effect and remain such status for a complete tier evaluation year.
c) During an effective evaluation year, the member who has stayed in a participating hotel at an eligible price and has accumulated 15,000 or more valid points will, subject to Wanda Club’s evaluation result, upgrade to/stay at the Platinum membership tier with immediate effect and remain such status for a complete tier evaluation year.
d) During an effective evaluation year, the member who has stayed in a participating hotel at an eligible price and has accumulated 35,000 or more valid points will, subject to Wanda Club’s evaluation result, upgrade to/stay at the Diamond membership tier with immediate effect and remain such status for a complete tier evaluation year.

2) Downgrading:
a) During an effective evaluation year, the Diamond member who has stayed in a participating hotel at an eligible price, but accumulated less than 35,000 valid points will be downgraded to Platinum, Gold, Silver or Blue tier according to the tier evaluation rules at the expiration of the current tier evaluation year.
b) During an effective evaluation year, the Platinum member who has stayed in a participating hotel at an eligible price, but accumulated less than 15,000 valid points will be downgraded to Gold, Silver or Blue tier according to the tier evaluation rules at the expiration of the current tier evaluation year.
c) During an effective evaluation year, the Gold member who has stayed in a participating hotel at an eligible price for less than 10 valid room nights, and accumulated less than 8,500 valid points will be downgraded to Silver or Blue tier according to the tier evaluation rules at the expiration of the current tier evaluation year.
d) During an effective evaluation year, the Silver member who has stayed in a participating hotel at an eligible price for less than 5 valid room nights, and accumulated less than 3,000 valid points will be downgraded to Blue tier according to the tier evaluation rules at the expiration of the current tier evaluation year.
e) Blue members will never be downgraded.

2.Membership Benefits
Wanda Club membership benefits are exclusive for Wanda Hotels & Resorts members and therefore may only be enjoyed by the members themselves. Members may enjoy Wanda Club membership benefits by booking rooms and staying at the participating hotels through Wanda Hotels direct channels. Staying at the hotels through OTA and any other third-party channels will not be eligible to enjoy these benefits.
Wanda Hotels & Resorts direct channels include its official website, official WeChat account, Wanda Hotels & Resorts mini program, and participating hotels.
OTA and other third-party channels include Trip, eLong, Fliggy, Lvmama, Qunar, TravelGo, Expedia, and others.

◆ Blue Membership Benefits
The following Blue membership benefits are offered upon the approval of membership application:
1) 5% off for booking rooms through direct channels.

• The price, cancellation and guarantee of membership price are subject to each hotel’s announcements;
• Members may reserve guest rooms for others at non-membership price through direct channels. If the person who checks in is a member, he/she may enjoy membership benefits of his/her own membership tier, but not the benefits of the booker’s membership tier; points will not be accrued for consumption made in the guest room that a member books for others;
• Members may not take advantage of the membership discounts to reserve guest rooms at membership price for others, or reserve guest rooms for others for the purpose of making a profit, or selling reservations at any third-party websites; if found, Wanda Club reserves the right to cancel his/her membership or take other measures;
• If it is found that any guest room is reserved by a member for others, the hotel may cancel the reservation; the hotel may, after consultation with checking-in guests, allow the guest to stay in the room at the front-desk price or promotional price;
• The hotel may decide whether to provide these services depending on the actual situation;

[Guest Room Upgrade Voucher] Rules of Use:
• The voucher may be used in Wanda Vista, Wanda Realm, Wanda Jin, Wanda Yi, Wanda Moments, and Wanda Yue in China. Wanda Reign branded hotels, Wanda Realm Xiamen North Bay and Wanda Realm Heshan do not provide these benefits.
• The voucher may be used to upgrade guest rooms reserved through direct channels (Wanda Hotels & Resorts official website, Wanda Club and Wanda Hotels & Resorts mini programs, and participating hotels) up to one higher grade (executive floor at most). The upgrade is subject to the availability of rooms at each hotel and is not applicable for long-term guest room;

•The voucher can only be used by the member himself/herself and cannot be transferred or sold;
• The voucher can be used to stay in the hotel’s basic guest room (king room or twin room), including guest room fees, guest room taxes/service fees, and additional persons charges (if any). Any other charge shall be paid by the member.
• One voucher can be used for 1 night in a basic guest room, no breakfast included.
• The room shall be booked through hotel reservation department at least one day in advance.
• By using the voucher for a guest room in the hotel, the member is not entitled to enjoy any other discounts offered by the hotel.
• Guest room obtained by using the voucher will not be accumulated in the number of guest rooms in the membership account and will not accrue any point.
• The validity of the voucher is 9 months and cannot be extended, unless otherwise stipulated by laws.
• The voucher has no cash value and cannot be converted into cash or be invoiced.
• Used vouchers cannot be refunded or changed. Unused vouchers cannot be converted into cash.
• Once stolen or disclosed, the voucher will be deemed used and is not applicable for any compensation. Please keep the voucher safely.
• The hotel may decide whether to provide such services depending on the actual situation;

III. Points/Airline Miles/Vouchers

1. Points Accrual Rules
The member may earn points for eligible consumption in participating hotels from the date of enrollment into Wanda Club. Guest rooms or food & beverage consumption prior to the enrollment will not accrue any points.
The accrual of points shall abide by the rules in this Loyalty Program. A member is responsible for reading the rules of this Program, acknowledging his/her rights, responsibilities and membership tier, as well as the rules of earning points under this Program.
Points, airline miles and rewards earned in this Program may be subject to tax. Members shall bear the tax responsibility (including information disclosure) in relation to the acceptance or use of the points, miles or rewards.
From January 1, 2021, all the points accrued after 2020 will be valid for 2 years (previously 3 years). In other words, all points will be valid for 2 years from the date of their accrual.
The points do not have any fixed or determinable cash value and may not be traded at will, unless otherwise specified in these rules.
Members may earn 1 point per RMB 1 (or equivalent amount in local currency) eligible spend in participating hotels.
Members can earn Wanda Club points by eligible consumption (guest room and food & beverage) through eligible channels.
Members can earn double points (i.e., basic points x 1 + extra bonus x 1) by staying in a participating hotel at retail sales at the front desk of Wanda Hotels & Resorts. The extra bonus will not be considered in upgrading or downgrading.

1.1 Eligible Expenditure includes:
Eligible consumption: It refers to consumption that meets the points accrual rules. To be specific, the member stays in a Wanda Club participating hotel at valid guest room price, and pays for the guest room price and food & beverage charges (only for food and non-alcoholic drinks; seafood is excluded) through valid payment methods (valid payment methods: WeChat, AliPay, credit card, UnionPay; invalid payment methods: vouchers, points, etc. Service fees and taxes are excluded.)
Eligible guest room price: It refers to all the room prices that are eligible for points accrual. For example, prepaid reservation price, optimal flexible price, global sales contract price, national/regional/local government price, and any other special leisure price, certain company-level agreement price (subject to the agreement), certain long-term guest room price (subject to the contract) as confirmed in Wanda Hotels & Resorts reservation system.
If the aforementioned prices include “hotel service fees” (which are charged by some high-end hotels at a certain portion of the guest room price for providing services, for example, five-star hotels generally charge 15% of the guest room price as the hotel service fee.) and taxes, this fee and taxes shall be deducted while calculating the points to be accrued.
Eligible channels: Wanda Hotels & Resorts official website, Wanda Club member service center, Wanda Club mini program, reservation department of participating hotels, and any other channels operated by Wanda Hotels & Resorts.
● The member himself/herself shall check-in;
● Food & beverage, phone call, business center and other charges billed in the member’s guest room charges. And any other consumption confirmed by the hotel;
●Food & beverage charges generated by the member’s consumption in self-operated restaurants in the hotel (excluding any alcoholic drinks prohibited by laws);
● If a member stays in the hotel at an ineligible price (such as by OTA orders, rooms by points redemption, rooms by free guest room vouchers), separate food & beverage consumption or other consumption generated by the guest may accrue points according to the Wanda Club’s points accrual rules;
●Wanda Club points accrued for each guest room can only be deposited into one member’s account. If two or more members stay in the same guest room, the members shall notify and confirm with the hotel’s front desk staff at the time of checking-in which member will obtain the points; the member to whom the points are accrued shall make the payment;
● The member may only accrue the points for the guest room that he/she stays in. For other rooms that the member pays the room price: if the person staying in such room is a Wanda Club member, that person may accrue corresponding points for the room, and the member who pays the room price may not accrue points for such a room. For example, member A and member B stay in the same hotel in two guest rooms. However, while making the payment, member B pays for both rooms. Member A will earn points for consumption of room A, and member B will earn points for consumption of room B.

1.2 Ineligible Expenditure includes:
Ineligible room price: This includes group reservation price, special discount reservation price, travel agency reservation price, third-party website reservation price, points redemption room, airline crew room, certain long-term guest rooms, free rooms, self-reserved rooms, exchanged rooms, etc.
Ineligible channels: This includes channels that are not operated by Wanda Hotels & Resorts, which include Trip, eLong, Qunar, Lvmama, Meituan and other third-party channels.
Ineligible payment methods: points and vouchers.
● If a member stays in the hotel at an ineligible price ( like using points), the guest room consumption, payment of price difference and others will not accrue any points;
● Members’ purchases of products through the third-party channels (like Meituan and Club One) and consumption by using free vouchers issued by the hotel (including guest room and food & beverage) will not accrue any points;
● All service fees, taxes and any other payment made to third parties other than the participating hotels will not accrue any points;
● Members’ purchases of cards (like gym card, swim card, laundry card) or prepaid expenditures will not accrue any points;
● If a member books rooms for others and makes the payment, but does not stay in the room, all consumption made related to such rooms will not accrue any points or room nights;
● If a member pays his/her own room price through group bills during the attendance of an event, such consumption will not accrue any points.

2. Points/Vouchers - Rules of Use
On the basis of membership tier benefits and irregularly launched marketing and promotion campaigns, Wanda Club offers gifts or vouchers to members, which can be redeemed with Wanda Club points. The redemption of such gifts and the use of such vouchers (for guest rooms or food & beverage) are subject to the rules declared by Wanda Club.
Using such gifts/vouchers will constitute your consent to and acceptance of the relevant rules of use set by Wanda Club. In case that gifts/vouchers are wrongly deposited into your account due to some unavoidable reasons, like system errors, Wanda Club reserves the right to make timely disposal according to the rules of this Program, including depositing additional gifts/vouchers or retrieving extra gifts/vouchers.
Wanda Club points may be used to redeem for free guest rooms at participating hotels, movie tickets at Wanda Cinema, miles of partner airlines, and payment for food & beverage (only for direct payment at the self-operated restaurants).

Redeem points for hotel guest rooms:
The member can redeem points for free guest rooms at the participating hotels. The type of rooms and required points are subject to the rules that Wanda Club publishes on its official channels.
The number and type of guest rooms available for the redemption vary at each hotel, and therefore are subject to the instructions issued and published by each hotel.
The points will be automatically deducted upon successful redemption. Redemption orders cannot be canceled or changed. Points will not be reinstated unless in any special or unavoidable circumstances.

Redeem points for food & beverage:
1) The member may redeem RMB 1 per 35 points at the participating hotels’ self-operated restaurants at any time to cover the eligible charges defined below. Hotels that recognize such points and redemption include Wanda Reign, Wanda Vista, Wanda Realm, and Wanda Jin of Wanda Hotels & Resorts. Wanda Yi, Wanda Moments, Wanda Yue, and Wanda Jin Danzhai, Wanda Jin Furunde, and Wanda Realm Xiamen North Bay are excluded.
2) The member must provide his/her membership account name and number at the time of payment. The points cannot be redeemed to pay for the charges if the information provided is inconsistent with the one registered;
3) The points cannot be redeemed to pay for consumption at weddings, banquets, conferences and any other group activities;
4) The points cannot be redeemed to pay for package tickets for Christmas, New Year, Valentine’s Day or any other special festivals and holidays;
5) The points cannot be redeemed for consumption of tobaccos and cigars;
6) The points cannot be used in conjunction with any other promotion, discounts, group purchase offers, or vouchers;
7) The orders cannot be canceled and the points cannot be reinstated after successful redemption;
8) The amount redeemed with points is not eligible for extra bonus;
9) The amount redeemed with points is not eligible for invoicing;
10) The points can only be used to redeem for an integer amount; the amount less than RMB 1 shall be paid through other modes;
11) The points cannot be used for hotel areas that have been rented to others.

Redeem points for movie tickets:
The member may use points to redeem for 2D, 3D and IMAX movie tickets at any Wanda Cinema nationwide. The movies, cinemas, dates and required points are subject to the rules effective at the time of redemption.
The points will be automatically deducted upon successful redemption. Redemption orders cannot be canceled or changed. Points will not be reinstated unless in any special or unavoidable circumstances.

Redeem points for airline miles:
1) The member may apply for redemption of airline miles by logging into Wanda Hotels & Resorts - Wanda Club official website or Wanda Club mini program, or by calling Wanda Club member service center (400-088-8899);
2) Before making any application, the member shall connect the airline membership account with the Wanda Club membership account by:
a) logging into Wanda Club official website and connecting the airline membership account in the “Personal Profile” section; or
b) calling Wanda Club member service center to request for such connection operation;
3) Generally, airline miles will be deposited into your airline membership account within 60 days after the successful application;
4) The member shall ensure the correctness of the airline membership account number and name otherwise the application for redemption will not be approved;
5) The member shall ensure the number of available points in his/her Wanda Club account is enough for the required redemption, otherwise the redemption will not be approved;
6) The orders cannot be canceled and the points cannot be reinstated after successful redemption;
7) The number of points required for miles redemption:

The products may not be returned or changed except for quality defects; in which case please call the after-sales service hotline: 400-606-9068. The points will not be reinstated in case of any return or exchange of products for any personal reasons;
4) All the prepaid cards, movie tickets and electronic vouchers redeemed with points are subject to relevant rules, including the validity and applicable scope. The member shall abide by these rules otherwise unused cards, tickets or vouchers will not be eligible for returning or exchanging. All the losses therefore incurred shall be borne by the member himself/herself.
5) Participating in the program through points redemption constitutes the acceptance of relevant terms;
6) Points redemption is a value-added rewards program that Wanda Hotels & Resorts offers to its members. All products redeemed with points are not eligible for invoicing;
7) For any redemption carried out through any improper behaviors (including, without limitation, cheating, disrupting the system, or conducting Internet attacks) or in violation of relevant rules, Wanda Club reserves the right to terminate the redemption, retrieve the redeemed products, and pursue legal actions;

3. Points Adjustment
Points in the Wanda Club membership account are subject to adjustments in accordance with the changes of membership systems or point plans. If a member believes the information on the account settlement letter is incorrect, he/she may contact Wanda Club member service center and relevant adjustments will be made following verification by the service center. The points will not be adjusted over 60 days after the date specified in the settlement letter. The member shall retain all stay records as evidence for application of points adjustments.

4. Points Transfer
Wanda Club points may be transferred between individual membership accounts. A member may transfer the points in his/her membership account to another member’s account by calling Wanda Club member service center. The minimum threshold for points transfer is 1,000 points. Wanda Club member service center will deduct 10% of total number of the transferred points as the service fee.
Wanda Club points may only be transferred once during the validity period. The transferred points will be valid for 6 months.
One membership account may only receive the transferred points from up to 5 different membership accounts. The points transferred cannot be canceled and are non-refundable.

5. Points Purchase
Members may purchase up to 100,000 Wanda Club points per evaluation year. Minimum points purchase threshold is 1,000 points. Points may be purchased at the front desk of each participating hotel. The price of points purchase is subject to the latest instruction published on the Wanda Club official website or by Wanda Club member service center. The points purchased cannot be canceled and are non-refundable.

IV. Maintenance of Your Personal Data

All the personal data provided by Wanda Club members will be stored and maintained within the database held by Wanda Hotels & Resorts. The member shall ensure truthfulness of the provided information, consent and expressly authorizes that:
Wanda Hotels & Resorts, its subordinates, affiliated institutions, franchisees, Wanda Club or third parties authorized to act on behalf of Wanda Club, may control and manage such personal data, and may use such data for purposes of membership documentation, guest services, advertising, marketing and communications.
The member is responsible to maintain the usage rights and confidentiality of his/her membership account and password, and agrees to be responsible for any activity carried out with such account and password.

V. Terms Regarding Links to Third-party Software

Wanda Club software may contain links to third-party software that we believe may be relevant for you. Providing such links by us does not represent that we recognize such third-party software or the services and products offered in such third-party software, and we do not take any responsibility for any circumstances in relation thereof. The link for third-party software may direct you away from Wanda Club software, therefore we are unable to take any responsibility for information listed or actions taken in that third-party software. We encourage you to take caution before browsing such link.
Any dispute arising out of your usage of third-party software or services and products provided in such software shall be resolved by relevant third party and Wanda Club does not take any responsibility thereof.

VI. Other Principles, Applicable Laws and Jurisdiction

1. Other Principles

1) Modification of Wanda Club programs.
Wanda Club may, at any time and for any reason, modify Wanda Club programs and the Terms without further notice. Wanda Club may adjust the processes, benefits, facilities, membership status, rules for obtaining and redeeming points, status for redeeming points, rules for using Wanda Club rewards, supply/stock/type of Wanda Club rewards, supply of Wanda Club promotional rewards and membership status, and benefits for Wanda Club black card members with no restrictions. Where any adjustment to the Wanda Club programs or its Terms may result into a sharp reduce in points earned by the Wanda Club Members from occupancy at eligible rates in Wanda Club participating hotels, or significantly increase the points used for Wanda Club Members for redeeming rooms in Wanda Club participating hotels, Wanda Club may nevertheless issue a relevant notice.

2) Termination of Wanda Club programs.
Wanda Hotels & Resorts reserves the right to terminate Wanda Club programs, with 12 months’ advance notice to all the active Wanda Club Members. Wanda Club may, at its sole discretion, at any time and with notice to all the active Wanda Club Members, choose the similar loyalty programs to replace Wanda Club programs. Upon termination of the Wanda Club programs, Wanda Club Members will not be eligible to earn points or apply for any Wanda Club rewards and promotional rewards or enjoy Wanda Club benefits or facilities. Where the Wanda Club programs are terminated, all the unredeemed points will be forfeited without any obligation or liability, and no redemption reward claims or promotional reward claims will be entertained after the conclusion of the notice period. Wanda Club may, in accordance with applicable laws, terminate Wanda Club programs, in whole or part, with maximum of 12 months' advance notice, within any jurisdiction.

3) Benefits subject to supply and modifications.
All the benefits, facilities, privileges, rewards and services of Wanda Club programs are subject to supply and may be modified at any time without further notice.

4) Eligibility for benefits.
Any Wanda Club Member's acceptance of any benefits, facilities, privileges, rewards or services under Wanda Club programs, including, but without limitation, any Wanda Club points, rewards and promotional rewards, shall be deemed that he/she is responsible for determining his/her eligibility for relevant Wanda Club benefits, facilities, privileges, rewards or services (including, but without limitation, Wanda Club points, rewards and promotional rewards) in accordance with applicable laws, gift policies and incentive policies. If any Wanda Club Member is unable to obtain corresponding benefits, facilities, privileges, rewards or services of Wanda Club programs at any time, he/she shall notify Wanda Club immediately.

5) Adjustment.
By contacting the member service center, Wanda Club Members may apply for cumulating the eligible Wanda Club points or upgraded room nights not shown in their Wanda Club membership accounts; and apply for cumulating Wanda Club points or eligible room nights related to eligible activities, earned but not shown in their Wanda Club membership accounts. Wanda Club can count the points applied into members' accounts only after receiving such applications within 6 months after the members complete relevant occupancy, eligible activities, or transaction of other eligible fees or partner eligible fees.

6) Points or upgraded room nights.
If the Wanda Club Members do not register at Wanda Club participating hotels, do not check in the Wanda Club participating hotels, or fail to pay their bills while checking out of Wanda Club participating hotels, they will not be eligible to earn Wanda Club points or upgraded room nights on the ground of occupancy in Wanda Club participating hotels.

7) Eligibility notification.
Wanda Club Members must notify the Wanda Club, when: (i) for any reasons ( including, but without limitation, any applicable laws, gift policies or promotional policies), they are no longer eligible to earn Wanda Club points, upgraded room nights or any other possible benefits earned under Wanda Club programs; or (ii) any unearned or ineligible Wanda Club points, upgraded room nights or any other likely benefits earned under Wanda Club programs are included in their Wanda Club membership accounts.

8) Correction of benefits.
Wanda Club may, at any time, at its sole discretion (including, without limitation, circumstance where Wanda Club Members are ineligible to earn specific gifts subject to Wanda Club Program Terms), correct (i) Wanda Club points, eligible and upgraded room nights included into Wanda Club membership accounts, and (ii) any other benefits included into Wanda Club membership accounts, including, without limitation, those ascribed to the VIP members.

9) Withdrawal of Wanda Club participating hotels.
If any Wanda Club participating hotel or partnering hotel withdraws from the Wanda Club for any reason, Wanda Club Members will no longer be eligible to earn Wanda Club points, eligible or upgraded room nights for checking in that hotel, and any related Wanda Club rewards, promotional rewards, other privileges and special discounts will be invalidated, even if any occupancy in that hotel is booked before the withdrawal date.

10) Non-salability or non-transferability.
Wanda Club points, rewards, promotional rewards and other member benefits are not allowed to be sold, exchanged or transferred (unless otherwise executed by Wanda Club or its agents), and any such transfer, sale or exchange will be deemed as invalid. Wanda Club and its partners reserve the right to refuse to offer or acknowledge any of the Wanda Club points, rewards, promotional rewards and other member benefits that they believe have been transferred, sold or exchanged.

11) Correspondence with members.
● All correspondences about Wanda Club programs will be sent to the latest mailing addresses or e-mail addresses provided by the Wanda Club Members in their membership accounts. Any correspondence delivered to the aforesaid addresses will be deemed to have been received within one working day if it is sent on e-mail address of a Wanda Club Member, or within five working days if it is sent to the mailing address of a Wanda Club Member. Wanda Club Members shall be responsible for keeping their updated e-mail and mailing addresses.
● Wanda Club may, from time to time, send correspondences about promotion, discounts and other related data to the members, including, without limitation, contents sourced from any third party. Types of contents from third party are subject to data offered by the Wanda Club Members to the Wanda Club and other data under maintenance of Wanda Club. Wanda Club Members may, at any time, contact the member service center for altering their personal data and correspondence preference. However, Wanda Club may request Wanda Club Members to provide relevant credentials for some alterations.
● In contact with the member service center at any time, Wanda Club Members may be requested by Wanda Club to answer some security-related questions to identity authentication. The member service center may also monitor or record phone calls for better service quality.
● Wanda Club Members may view their balance Wanda Club points and transaction history and update their personal data and preference on the official website of Wanda Hotels & Resorts-Wanda Club. While logging on to the website, Wanda Club Members will be asked to offer their membership numbers or their user names and passwords.

12) Taxes.
Income tax or other relevant taxes may be levied on Wanda Club points, rewards, promotional rewards and other member benefits. Wanda Club Members are obliged to pay all these taxes and make appropriate disclosure to third parties, including, without limitation, payers for Wanda Club points obtained by Wanda Club Members. Wanda Club shall not be responsible in any manner for tax obligations, liabilities and other expenses arising out of distribution of Wanda Club points, rewards, promotional rewards and other member benefits.

13) No guarantee or statement, express or implicit.
Wanda Club will not make any guarantee or statement, express or implicit, on the type, quality or appropriateness of any products or services offered under Wanda Club programs or by Wanda Club participating hotels.

14) Operation of Wanda Club programs.
Wanda Club may sell Wanda Club points to Wanda Club participating hotels and partnering hotels, redeem the points (including, without limitation, Wanda Club points earned from Wanda Club participating hotels) for cash, air tickets and products, and is be responsible for managing Wanda Club programs. Wanda Hotels & Resorts is responsible for publicity and promotion of Wanda Club, including, without limitation, initiation and launch of marketing activities, development and maintenance of the Wanda Club website as well as partnership management.

15) No accountability for erroneous acts or omissions.
Wanda Club is not liable for:
a. any loss, delay, or receiving delay of Wanda Club Members' applications, letters, redeeming claims, Wanda Club rewards or benefits;
b. theft of points or Wanda Club rewards, unauthorized redeeming or unauthorized use of Wanda Club rewards;
c. acts or omissions caused due to any third party, including, without limitation, Wanda Club participating hotels); and/or
d. any disclosed errors related to Wanda Club, including, without limitation, any errors in the pricing or printing, errors in explanation, errors related to Wanda Club participating hotels and affiliated agencies of Wanda Club programs, and errors in points accumulated or deducted from Wanda Club membership accounts.
Wanda Club reserves the right to correct any errors without further notice.

16) Explanation of Wanda Club Program Terms.
In case of any conflict between the Chinese version and any translation of Wanda Club Program Terms, the Chinese version shall prevail.

17) Trademark.
Wanda Reign, Wanda Vista, Wanda Realm, Wanda Jin, Wanda Yi, Wanda Moments, Wanda Yue and their respective logos are the trademarks of Wanda Hotels & Resorts or its affiliates. Wanda Club Members shall not, directly or indirectly, at any place worldwide, hinder, challenge or apply for the trademarks or claim the ownership of the trademarks.

18) Waiver.
Wanda Club's waiver of accountability for a Wanda Club Member’ violation against the Wanda Club Program Terms does not constitute its waiver of the right of accountability for the Member’s any prior or subsequent violation of the Wanda Club Program Terms. Wanda Club’s no enforcement on any Wanda Club Member in complying with the Wanda Club Program Terms shall not be deemed as the waiver of any rights or corrective measures against the Member or other Wanda Club Members. Wanda Club may, at its sole discretion, determine to waive compliance to Wanda Club Program Terms and organize promotion activities at any time, with an objective to offer more benefits to the selected Wanda Club Members.

19) Limitation of liability
Under any circumstances, whether under any contract, due to civil tort or otherwise, Wanda Club and Wanda Club participating hotels are not liable for any direct, indirect, special, cautionary, punitive, collateral or consequential damages incurred by or in connection with the Wanda Club or Wanda Club Program Terms.

2. Applicable Laws and Jurisdiction

1) Applicable laws and place of jurisdiction.
Any disputes arising out of or in connection with Wanda Club or Wanda Club Program Terms shall be settled in person instead of legal actions, governed by the Chinese laws, and explained and executed according to the Chinese laws, regardless any confrontation with legal stipulations. The exclusive rights of jurisdiction over any claims or lawsuits stemming out from or pertinent to the Wanda Club Program Terms or Wanda Club are vested in the Chinese courts only.

2) Legal restriction
Wanda Club membership and obtaining and redeeming of Wanda Club points shall be subjected to all the applicable local laws and regulations. Wanda Club membership, member benefits, rewards and promotional rewards are the bona-fide offerings, and may not be offered if being prohibited in accordance with the laws and regulations applicable in China or any other jurisdiction where Wanda Club Members reside. If the Wanda Club Program Terms are partially illegal or unenforceable, the illegal or unenforceable part shall be deemed to have been deleted from the Wanda Club Program Terms while other terms shall remain in effect.

3) Entire agreement.
Wanda Club Program Terms and any parts contained or quoted herein constitute the entire agreement entered into by and between the Wanda Club and any Wanda Club Member on the subject concerned and supersede any prior understandings or agreements (in verbal or written) on the subject. Moreover, the agreement shall not be revised or modified unless otherwise the revision or modification is made in writing or disclosed on the website of the Wanda Club programs.
